Constitution & Bylaws

CONSTITUTION

Article I

Name The name of this organization shall be Wild Rivers Photography Club.

Article II

Purpose The objectives and purposes of the club are to exchange knowledge and information among members, promote the overall field of photography, provide opportunities for practical photographic group activities, study advanced techniques and equipment in the field, offer training and experience in photography, and to provide an opportunity for display, recognition, and evaluation of individual members through competitions.

Article III

Membership Any person interested in photography may become a member of this club as provided in the Bylaws.

Article IV

Officers The officers of this club shall be: President, Vice President, Treasurer, and Secretary. Their duties shall be those usually pertaining to these offices. The elected officers shall form the Executive Committee.

Article V

Vacancies Section 1: If the office of the President should become vacant for any reason, the Vice President

shall assume that office for the remainder of the term. Should the Vice President be unable to assume the Presidency, then the office may be declared open by a majority vote of the Executive Committee and a special election may then be called to fill the office for the remainder of the term.

Section 2: If any other office than the President should become vacant, it shall be filled by appointment by the President, for the remainder of the term.

Article VI

Meetings Section 1: Regular meetings of the club shall be held each month, except for the months of July and August. The day and place of the meeting shall be selected by the Executive Committee.

Section 2: Special meetings may be called by the President at any time.

Article VII

Amendments Amendments to the Constitution may be made at any time by a two-thirds affirmative vote of the members present, and in good standing. The vote can be taken at a regular or special meeting of this club, providing the members present constitutes a quorum, defined hereinafter.

Article VIII

Bylaws for the transaction of the business of the club may be adopted, revoked, or amended at any time by a majority affirmative vote of members in good standing at a regular or special meeting of this club.

BYLAWS

Article I

Membership Any person of good character may apply for membership in this club. The annual dues should accompany the application. Dues may be prorated for persons joining during the club year.

Article II

Dues Expenses for operating the club may be examined at any meeting of the Executive Committee so that an appropriate dues amount may be proposed for acceptance by the club membership at the next regular or special meeting.

Article III

Election of Officers Section 1: At least two months in advance of the annual business meeting in May of each year, the President shall appoint the nominating committee. The nominating committee shall nominate a slate of officers for the ensuing year and shall present that slate at the April meeting. Election of officers will be held in the May Meeting. Section 2: At the Annual Business Meeting in May, the Nominations Chairman shall present the list of officers again. Nominations from the floor shall also be solicited. If there is a quorum present, the President shall appoint tellers to pass out the ballots, collect them and count them. Those receiving the highest vote for each office shall be declared elected and shall be installed at the Annual Awards Ceremony in June.

Article IV

Quorum One-third of the members in good standing present at the meeting shall constitute a Quorum, providing this number is not less than five.

Article V

Order of Business All meetings of the club shall be conducted in accordance with Robert’s “Rules of Order”.

Article VI

Section 1: Members of the Board. The day-to-day operation of the club shall be accomplished by the Board. The Board shall be chaired by the President. The Board shall consist of the four elected officers (Executive Committee), and a number of At-Large Board Members. The At-Large Board Members are appointed and voted on by all Board members.  Section 2: The term of At-Large Board Members shall be one year, and they may be reappointed on an annual basis or filled as vacancies occur.

Article VII

Amendments Any change may be made in these Bylaws by a majority affirmative vote of at least a quorum of members present at any regular or special meeting called by the President.

Certification of Amendment These amended Bylaws were approved by a majority vote of members present at a regular monthly meeting on May 13, 2020.

 CODE OF CONDUCT 

All members must adhere to the Caveman Camera Club Code of Conduct. 

1. All members are entitled to be treated with dignity, respect, and common courtesy in their contact with others and they need to act with integrity towards others at all times. The Board has a duty to protect all members including themselves from any behavior that interferes with a member’s participation and enjoyment of the club including but not limited to harassment and intimidation. 

2. A member may be suspended or expelled by the Board of Directors for good and sufficient reason. The Board shall have full discretion as to what constitutes “good and sufficient reason. “Good and sufficient reason” includes but is not limited to; threatening or obscene behavior, harassment, intimidation, bullying (physical, emotional, or cyber) and any other conduct that interferes with other members’ participation and enjoyment of the club. 

3. Any member that does not adhere to this code of conduct may be brought before the Board for a determination of suspension or expulsion depending on the severity and frequency of the actions. The decision of the Board shall be final. Dues payments will not be refunded in cases of expulsion.
